NerdyCMS USER AGREEMENT
NerdyCMS USER AGREEMENTThis User Agreement ("Agreement") is a legal contract between you (referred to as "User," "you," or "your") and Nerdy Media Inc ("Nerdy Media," "NerdyCMS," "we," "us," or "our"), governing your use of the services provided by Nerdy Media Inc. Please read this Agreement carefully before using our services.
ACCEPTANCE OF TERMS
By accessing or using any services provided by Nerdy Media Inc, you agree to be bound by the terms and conditions outlined in this Agreement. If you do not agree with these terms, you must refrain from using our services.
ACCOUNT CREATION AND SECURITYTo access certain features or services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to be solely responsible for any activities conducted through your account. Notify us immediately of any unauthorized use or security breach of your account.
CONTENT OWNERSHIP AND USAGEYou retain ownership of any content you submit or post through our services. However, by using our services, you grant Nerdy Media a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display such content for the purpose of providing and promoting our services.
PROHIBITED CONDUCTYou agree not to use our services for any unlawful, harmful, or abusive purposes. Prohibited conduct includes, but is not limited to, violating intellectual property rights, engaging in fraudulent activities, transmitting viruses or malware, or engaging in any activity that may disrupt or interfere with the proper functioning of our services.
DISCLAIMER OF WARRANTIESNERDY MEDIA INC PROVIDES ITS SERVICES "AS IS" AND DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, AVAILABILITY, OR SUITABILITY OF THE SERVICES PROVIDED.
LIMITATION OF LIABILITYIN NO EVENT SHALL NERDY MEDIA INC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING OUR SERVICES.
MODIFICATIONS TO THE AGREEMENTNerdy Media Inc reserves the right to modify or update this Agreement at any time. We will notify you of any material changes to the Agreement. Continued use of our services after the modifications constitute your acceptance of the updated terms.
TERMINATIONWe may, at our discretion, terminate or suspend your access to our services if we believe you have violated this Agreement. You may also terminate your account at any time by contacting us. Upon termination, you will lose access to any content or data associated with your account.
GOVERNING LAW AND JURISDICTIONThis Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Nerdy Media Inc is registered. Any disputes arising out of or related to this Agreement shall be resolved in the courts of that jurisdiction.
ENTIRE AGREEMENTThis Agreement constitutes the entire agreement between you and Nerdy Media Inc regarding the use of our services and supersedes any prior agreements or understandings. If you have any questions or concerns about this Agreement, please contact us at support [@] nerdycms.com.
